I. SUBJECT
Art. 1. These General Terms and Conditions (“General Terms”) govern the relationship between Goud Bulgaria EOOD, entered in the Commercial Register at the Registry Agency under UIC 208068489, with registered seat and management address: village of Trudovets, 1 Tsar Simeon St., hereinafter “Supplier,” and its customers, hereinafter “Users,” of the online store www.goud.bg (“Online Store”), owned by the Supplier.

III. CHARACTERISTICS OF THE ONLINE STORE
Art. 3. The Online Store is an e-commerce platform accessible at https://goud.bg, through which Users may conclude contracts for the purchase and delivery of goods offered by the Supplier, including the ability to:

Review the goods, prices, and delivery terms offered by the Supplier;

Be informed of the nature and main characteristics of the goods;
-
Conclude purchase and delivery contracts with the Supplier for goods offered in the Online Store;
-
Make electronic declarations relating to the conclusion, performance, and termination of contracts with the Supplier through the Online Store interface, including its available tools and mobile applications;

Be informed of their statutory rights;
-
Exercise their right of withdrawal, where applicable, under the Consumer Protection Act.
Art. 4. The Supplier arranges delivery of the goods and guarantees Users’ statutory rights within the bounds of good faith and the criteria established by consumer or commercial practice and law.
Art. 5. (1) Users conclude a purchase contract with the Supplier under the procedure set out in Art. 8. The contract is concluded in Bulgarian and stored in the Supplier’s database within the platform.
(2) Users may review and correct data-entry errors up until the point of submitting their contract declaration. Errors may be corrected by editing the order form at any time before the contract declaration is sent.
(3) Under the concluded purchase contract, the Supplier undertakes to arrange delivery and transfer of ownership to the User of the goods selected through the Online Store interface.
(4) Users pay the Supplier for the delivered goods according to the terms set out in the Online Store and these General Terms. The payment equals the price stated in the Online Store.
IV. USE OF THE ONLINE STORE
Art. 6. (1) The Online Store may be used after registration and creation of a User profile, or without prior registration.
(2) Registration is free, voluntary, and carried out in the relevant section of the Online Store.
(3) Whether or not the User registers, to conclude purchase contracts the User must provide: first name, surname, email address, contact phone number, and delivery address, and must agree to these General Terms.
(4) By entering their details, clicking the “PAY” button, and marking their agreement with the General Terms, the User declares that they are familiar with these General Terms, agree to their content, and undertake to comply with them unconditionally.
(5) The Supplier confirms the User’s order by sending an electronic statement to the email address provided by the User, or by phone call to the number provided, at which point contractual relations arise between the parties.
(6) When registering or ordering, the User undertakes to provide true and current data and to update it promptly upon any change.
(7) If the User provides false information, or the Supplier has grounds to believe the information is incomplete or untrue, the Supplier may, at its discretion, block or delete the User’s registration and refuse them use of the Online Store.
V. TECHNICAL STEPS FOR CONCLUDING A PURCHASE CONTRACT
Art. 7. Users primarily use the Online Store interface, including its tools and mobile applications, to conclude purchase contracts for the goods offered by the Supplier.
Art. 8. The User and Supplier conclude the purchase contract by the following procedure:

The User selects one or more of the goods offered by the Supplier.

The User completes an order form and provides the data required to identify them as a party to the contract.

The User selects a delivery method and provides delivery details.
-
The User selects a payment method and timing.
-
The User submits the order (offer) by clicking the “PAY” button, having marked their agreement with the General Terms and the Privacy Policy.

The Supplier confirms the User’s order (accepts the offer) by sending an electronic statement to the User’s email or by phone call. The Supplier provides the User with confirmation of the concluded contract on a durable medium within a reasonable time after conclusion of the distance contract, or at the latest upon delivery of the goods.
VI. CONTENT OF THE CONTRACT
Art. 9. (1) The Supplier and User conclude separate purchase contracts for the goods ordered, even if selected in a single electronic statement.
(2) The Supplier may arrange joint and simultaneous delivery of goods ordered under separate contracts.
(3) Users’ rights regarding delivered goods are exercised separately for each purchase contract. Exercising rights regarding one item does not affect the contracts for other items. Where the User is a consumer within the meaning of the Consumer Protection Act, exercising the right of withdrawal for one item does not affect the contracts for other items delivered.
(4) The Supplier may, at its discretion, refuse to fulfil a User’s order, notifying the User within a reasonable time, without being obliged to state a reason.
Art. 10. When exercising rights under the purchase contract, the User must clearly and unambiguously identify the contract and goods concerned.
Art. 11. The User pays the price for the separate purchase contracts either at the time of ordering or upon delivery.
VII. SPECIAL PROVISIONS APPLYING TO CONSUMERS UNDER THE CONSUMER PROTECTION ACT
Art. 12. The rules of this Section VII apply only to Users who, based on the data provided, can be concluded to be consumers within the meaning of the Consumer Protection Act.
Art. 13. (1) The main characteristics of the goods are described in each product’s profile in the Online Store.
(2) Prices, inclusive of all taxes and fees, are specified in each product’s profile.
(3) Postal or transport costs not included in the price are set by the Supplier and provided to Users when selecting goods for purchase.
(4) Payment, delivery, and performance methods are set out in these General Terms and the information provided through the Online Store.
(5) Information provided under this article is current at the moment of its display in the Online Store before the contract is concluded.
(6) Users agree that all information required under the Consumer Protection Act and the Act on the Provision of Digital Content and Digital Services and the Sale of Goods may be provided through the Online Store interface or by email.
Art. 14. (1) The Consumer agrees that the Supplier may accept advance payment for concluded purchase contracts and their delivery.
(2) In accordance with the options in the Online Store, the Consumer chooses whether to pay for delivery before or at the time of delivery.
(3) Where the value of the order equals or exceeds BGN 10,000 (EUR 5,112.92, at the fixed rate of 1 EUR = 1.95583 BGN), payment is made only by transfer or deposit to the Supplier’s payment account, in accordance with the Cash Payments Restriction Act. This restriction applies to cash payments only; card and bank-transfer payments are not affected.
Art. 15. (1) The Consumer has the right, without owing compensation or penalty and without stating a reason, to withdraw from the contract within 14 days from the date of receiving the goods, using the standard withdrawal form available on the Online Store’s website in Annex No. 1 to these General Terms, or by otherwise unambiguously declaring their decision to withdraw. Information on exercising the right of withdrawal is available in Annex No. 2.
(2) The right of withdrawal does not apply in the cases provided for in Art. 57 of the Consumer Protection Act.
(3) Where the Supplier has not fulfilled its information obligations under the Consumer Protection Act, the Consumer may withdraw within one year and 14 days from receipt of the goods. Where the information is provided within one year of receipt, the Consumer may withdraw within 14 days of receiving that information. The Consumer may declare withdrawal directly to the Supplier via the standard form in Annex No. 1 or by otherwise unambiguously declaring their decision.
(4) Where the Consumer has exercised the right of withdrawal, the Supplier refunds all sums received, including delivery costs, without undue delay and no later than 14 days from being notified of the decision. The refund uses the same payment method as the original transaction, unless the Consumer has expressly agreed otherwise and provided this involves no cost to them.
(5) Upon withdrawal, the cost of returning the goods is deducted from the refund under para. 4, except where the Consumer arranges the return themselves at their own expense. The Supplier is not obliged to refund additional delivery costs where the Consumer chose a delivery method other than the cheapest standard delivery offered.
(6) The Consumer undertakes to store the received goods and preserve their quality and safety during the period under para. 1 or para. 3.
(7) Where the Supplier has not offered to collect the goods itself, it may withhold the refund until it receives the goods or the Consumer provides proof of return, whichever occurs first.
(8) Where the Consumer exercises the right of withdrawal and the Supplier has not offered to collect the goods, the Consumer must return them without undue delay and no later than 14 days from notifying the Supplier of their decision. The deadline is met if the goods are sent back before the 14-day period expires.
(9) The Consumer bears only the direct costs of returning the goods, except where the Supplier has agreed to bear them, or where the Supplier failed to notify the Consumer that return costs are borne by the Consumer.
(10) The Consumer is liable only for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics, and functioning. The Consumer is not liable for diminished value where the Supplier failed to notify them of the right of withdrawal.
Art. 16. (1) The delivery period is specified for each item individually at the time of concluding the contract.
(2) If the Supplier cannot fulfil the contract because it lacks the ordered goods, it must notify the Consumer and refund any sums paid.
VIII. PERFORMANCE OF THE CONTRACT
Art. 17. (1) The Supplier may arrange delivery and handover of the goods to the User via a courier within the agreed period.
(2) If no period was expressly agreed, the Supplier arranges delivery within a reasonable time. If the Supplier cannot deliver within the stated period, it must notify the User in advance.
(3) If the User is not present at the delivery address at the agreed time and has not arranged a third party to receive the delivery, the Supplier delivers at another time convenient to it, and the User must pay an additional delivery charge per the courier’s or postal operator’s tariff.
Art. 18. (1) The User must inspect the goods upon delivery and handover and notify the Supplier immediately if they do not meet requirements.
(2) If the User does not notify the Supplier per the preceding paragraph, the goods are deemed approved as compliant, except for hidden defects.
IX. PERSONAL DATA PROTECTION
Art. 19. (1) The Supplier processes personal data provided by Users in accordance with its Privacy Policy and with Regulation (EU) 2016/679 (GDPR), the Personal Data Protection Act, and other applicable Bulgarian data-protection legislation.
(2) The Supplier’s Privacy Policy is available at [privacy policy URL — to be added] and forms an integral part of these General Terms.
(3) The Supplier may store or access information stored on the User’s device in accordance with its Cookie Policy, provided that:

The Supplier has provided the User with clear and comprehensive information under Art. 13 of Regulation (EU) 2016/679; and

The Supplier has given the User the option to refuse the storage of or access to the information.
(4) The User agrees that the Supplier may collect, store, and process data about the User’s behaviour when using the Online Store. The User may object to such storage or access by the means set out in the Privacy Policy.
Art. 20. The Supplier may at any time require the User to identify themselves and verify the accuracy of any circumstances and personal data declared during registration or ordering.
X. AMENDMENT OF AND ACCESS TO THE GENERAL TERMS
Art. 21. (1) These General Terms are an integral part of the contract concluded between the parties.
(2) By concluding the contract, the User declares familiarity with and acceptance of these General Terms.
(3) The parties agree that all statements between them relating to the conclusion, performance, amendment, and termination of the contract and these General Terms may be made electronically, as electronic statements under the Electronic Document and Electronic Certification Services Act and Art. 11 of the Electronic Commerce Act.
(4) Electronic statements made by Users are presumed to have been made by the persons identified in the data provided during registration or ordering.
(5) The User agrees to receive all statements, documents, and communications from the Supplier electronically at the email address provided during registration or ordering.
(6) Electronic statements, documents, and communications sent by the User to the Supplier from the email address provided are deemed signed with a simple electronic signature. An electronic statement is deemed received upon reaching any of the information systems specified by the User.
(7) The parties agree that a simple electronic signature has legal force equivalent to a handwritten signature.
Art. 22. Terms other than those in these General Terms may be agreed by additional written agreements. In case of conflict, the additional written agreement prevails.
Art. 23. (1) These General Terms may be amended by the Supplier, who notifies Users appropriately.
(2) Any amendment takes effect against the User in one of the following cases:

after express notification by the Supplier to the User’s email, if the User does not state within the 14-day period that they reject it; or
-
upon express acceptance by the User when placing an order.
(3) A statement rejecting an amendment within the period above constitutes a unilateral statement to terminate the contract.
Art. 24. The Supplier publishes the General Terms, together with all amendments, online at [URL — to be added].
XI. TERMINATION
Art. 25. These General Terms and the contract terminate in the following cases:

upon dissolution, liquidation, or insolvency of one of the parties;
-
by mutual written agreement of the parties;
-
upon objective impossibility of either party to perform its obligations;
-
upon seizure or sealing of equipment by state authorities;
-
upon deletion of the User’s registration. In this case, concluded but unfulfilled purchase contracts remain in force and subject to performance;

in the cases under Art. 23, para. 3.
Art. 26. The Supplier may, at its discretion and without notice or compensation, unilaterally terminate the contract if it finds the User is using the Online Store in breach of these General Terms, Bulgarian law, generally accepted moral norms, or accepted e-commerce practice.
XII. LIABILITY
Art. 27. The User undertakes to indemnify and hold the Supplier harmless against third-party claims (whether founded or not) for all damages and costs (including legal fees and court costs) arising from or in connection with (1) failure to perform any obligation under this contract, (2) infringement of copyright, producer, broadcasting, or other intellectual or industrial property rights, (3) unlawful transfer to others of the rights granted to the User, and (4) false declaration of consumer status under the Consumer Protection Act.
Art. 28. The Supplier is not liable in cases of force majeure, accidental events, internet problems, technical or other objective causes, including orders of competent state authorities.
Art. 29. (1) The Supplier is not liable for damage caused by the User to third parties.
(2) The Supplier is not liable for property or non-property damage, in the form of lost profits or incurred losses, caused to the User in the process of using or not using the Online Store and concluding contracts with the Supplier.
(3) The Supplier is not liable for the time during which the Online Store was unavailable due to force majeure.
(4) The Supplier is not liable for damage from comments, opinions, and posts under the products, news, and articles in the Online Store.
Art. 30. (1) The Supplier is not liable if security measures of the technical equipment are overcome, resulting in loss of information, dissemination of information, access to information, restriction of access, or similar consequences.
(2) The Supplier is not liable in the event of a purchase contract, provision of access to information, or loss or alteration of data resulting from false identification by a third party posing as the User, if the circumstances suggest that person is the User.
XIII. OTHER PROVISIONS
Art. 31. (1) The User and Supplier undertake to mutually protect each other’s rights and legitimate interests and to keep confidential any trade secrets learned during performance of the contract and these General Terms.
(2) The User and Supplier undertake, during and after the contract period, not to make public any written or oral correspondence between them, including publication in print and electronic media, social networks, internet forums, or personal or public websites.
Art. 32. The potential invalidity of any provision of these General Terms does not lead to the invalidity of other provisions or of the contract.
Art. 33. For matters not settled in this contract relating to its performance and interpretation, the laws of the Republic of Bulgaria apply.

Annex No. 2 — Information on Exercising the Right of Withdrawal
I. Right of withdrawal from a distance or off-premises contract.
II. You have the right to withdraw from this contract, without stating reasons, within 14 days.
III. The withdrawal period is 14 days from the day on which you, or a third party other than the carrier and indicated by you, take physical possession of the goods.
To exercise your right of withdrawal, you must inform us of your decision by an unambiguous statement (e.g. a letter sent by post or email). You may use the attached standard withdrawal form, but this is not mandatory. To meet the withdrawal deadline, it is sufficient to send your communication concerning the exercise of the right before the withdrawal period expires.
IV. Effects of withdrawal. If you withdraw from this contract, we will reimburse all payments received from you, including delivery costs (except for supplementary costs arising from your choice of a delivery method other than the cheapest standard delivery offered by us), without undue delay and in any case no later than 14 days from the day we are informed of your decision to withdraw. We will make the reimbursement using the same means of payment you used for the initial transaction, unless you have expressly agreed otherwise; in any event, this reimbursement will not cost you anything.
We may withhold reimbursement until we have received the goods back, or until you have supplied evidence of having sent back the goods, whichever is earliest.
You must send back the goods or hand them over to us without undue delay and in any case no later than 14 days from the day you communicate your withdrawal. The deadline is met if you send back the goods before the 14-day period expires. You will have to bear the direct cost of returning the goods.
You are responsible only for any diminished value of the goods resulting from handling other than what is necessary to establish their nature, characteristics, and functioning.

We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.

SECTION 7 - OPTIONAL TOOLS
You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.

You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Goud.

OVERVIEW
Welcome to Goud! The terms "we", "us" and "our" refer to Goud Bulgaria EOOD, a company entered in the Commercial Register at the Bulgarian Registry Agency under UIC 208068489, VAT No. BG208068489, with registered seat and management address: village of Trudovets, 1 Tsar Simeon St., Bulgaria ("Goud"). Goud operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). Goud is powered by Shopify, which enables us to provide the Services to you.
The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability. Nothing in these Terms limits or excludes your mandatory statutory rights as a consumer under Bulgarian law and the law of the European Union.

SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you represent that you are at least the age of majority under the law of your country of residence (18 years in Bulgaria), and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.
To use the Services, including accessing or browsing our online store or purchasing any of the products we offer, you may be asked to provide certain information, such as your first name, surname, email address, contact phone number, and billing, payment, and delivery information. You represent and warrant that all the information you provide is correct, current and complete and that you have all rights necessary to provide this information. You undertake to update your details promptly upon any change.
You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person. If you provide false information, or we have grounds to believe the information is incomplete or untrue, we may, at our discretion, block or delete your registration and refuse you use of the Services.
SECTION 2 - OUR PRODUCTS
We have made every effort to provide an accurate representation of our products in our online store. However, please note that colors or product appearance may differ from how they appear on your screen due to the type of device you use and your device settings and configuration.
The main characteristics of each product are described in that product's profile in the online store. Prices, inclusive of all taxes and fees, are specified in each product's profile. Any postal or transport costs not included in the price are set by us and shown to you when you select goods for purchase.
All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products we offer to any person, geographic region or jurisdiction, on a case-by-case basis.
SECTION 3 - ORDERS
When you place an order by clicking the "PAY" button and marking your agreement with these Terms and our Privacy Policy, you are making an offer to purchase. Goud reserves the right to accept or decline your order at its discretion, notifying you within a reasonable time and without being obliged to state a reason. Your order is not accepted until Goud confirms acceptance by sending an electronic statement to your email address, or by phone call to the number you provided, at which point contractual relations arise between the parties.
We conclude a separate purchase contract for each product ordered, even if selected in a single order. We may arrange joint and simultaneous delivery of goods ordered under separate contracts. We will provide confirmation of the concluded contract on a durable medium within a reasonable time, or at the latest upon delivery of the goods.
Please review your order carefully before submitting, as Goud may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, change, or cancel an order, we will attempt to notify you using the email, billing address, and/or phone number provided at the time the order was made. If we cannot fulfil an order because we lack the ordered goods, we will notify you and refund any sums paid.
Your purchases are subject to return, exchange or withdrawal in accordance with Section 5A (Right of Withdrawal) and our Refund Policy [LINK].
SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Prices are stated in the online store inclusive of applicable taxes. Delivery, handling or similar charges not included in the price will be shown before you complete your order.
Where the value of an order equals or exceeds BGN 10,000 (EUR 5,112.92, at the fixed rate of 1 EUR = 1.95583 BGN), payment is made only by transfer or deposit to Goud's payment account, in accordance with the Cash Payments Restriction Act. This restriction applies to cash payments only; card and bank-transfer payments are not affected.
We may, from time to time, offer promotions that may affect pricing and that are governed by terms separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.
You agree to provide current, complete and accurate purchase, payment and account information for all purchases. You represent and warrant that (i) the payment information you provide is true, correct, and complete, (ii) you are duly authorized to use the payment method for the purchase, and (iii) you will pay charges incurred at the posted prices, including delivery and handling charges and all applicable taxes, if any.
SECTION 5 - SHIPPING AND DELIVERY
We arrange delivery and handover of the goods via a courier within the period specified for each item at the time of concluding the contract. If no period was expressly agreed, we deliver within a reasonable time and will notify you in advance if we cannot deliver within a stated period.
If you are not present at the delivery address at the agreed time and have not arranged a third party to receive the delivery, we will deliver at another time convenient to us, and you may be required to pay an additional delivery charge per the courier's tariff. You must inspect the goods upon delivery and notify us immediately if they do not meet requirements; otherwise the goods are deemed accepted as compliant, except for hidden defects. This does not affect your statutory rights in respect of non-conforming goods.
SECTION 5A - RIGHT OF WITHDRAWAL (CONSUMERS)
If you are a consumer, you have the right to withdraw from your purchase contract, without owing compensation or penalty and without stating a reason, within 14 days from the date you (or a third party indicated by you, other than the carrier) take physical possession of the goods.
To exercise this right, inform us of your decision by an unambiguous statement (for example, a letter by post or email to office@goud.bg). You may use the standard withdrawal form available on our website, but this is not mandatory. It is enough to send your communication before the withdrawal period expires.
If you withdraw, we will reimburse all payments received from you, including standard delivery costs (except supplementary costs arising from your choosing a delivery method other than the cheapest standard delivery we offer), without undue delay and no later than 14 days from the day we are informed of your decision. We will use the same means of payment you used for the initial transaction unless you expressly agree otherwise, at no cost to you. We may withhold reimbursement until we receive the goods back or you supply evidence of having sent them back, whichever is earliest.
You must return the goods without undue delay and no later than 14 days from communicating your withdrawal, and you bear the direct cost of returning them. You are responsible only for any diminished value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods. The right of withdrawal does not apply in the cases set out in Art. 57 of the Consumer Protection Act.
SECTION 6 - INTELLECTUAL PROPERTY
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Goud, its affiliates or licensors and are protected by Bulgarian, European Union and international patent, copyright and other intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Goud, Shopify or any third party. All rights not expressly granted herein are reserved by Goud.
Goud's names, logos, product and service names, designs, and slogans are trademarks of Goud or its affiliates or licensors. You must not use them without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
SECTION 7 - OPTIONAL TOOLS
You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control over nor input into.
You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement. To the extent permitted by law, we shall have no liability arising from or relating to your use of optional third-party tools. Any use by you of these tools is at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which they are provided by the relevant third-party provider(s).
We may also, in the future, offer new features through the Services. Such new features shall also be deemed part of the Services and are subject to these Terms of Service.

SECTION 9 - RELATIONSHIP WITH SHOPIFY
Goud is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Goud. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Goud, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Goud.
SECTION 10 - PERSONAL DATA AND PRIVACY POLICY
We process the personal data you provide in accordance with our Privacy Policy [LINK], Regulation (EU) 2016/679 (GDPR), the Bulgarian Personal Data Protection Act, and other applicable data-protection legislation. Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit may be transmitted to and shared with Shopify as well as third parties that may be located in countries other than where you reside, in order to provide services to you. The following sections continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Personal Data and Privacy Policy, and any other provisions that by their nature should survive termination.

To the fullest extent permitted by applicable law, in no case shall Goud, our partners, directors, officers, employees, affiliates, agents, contractors, service providers or licensors, or those of Shopify and its affiliates, be liable for any indirect, incidental, punitive, special, or consequential damages of any kind, including lost profits, lost revenue, lost savings, loss of data, or replacement costs, arising from your use of any of the Services or any products procured using the Services.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded or limited under Bulgarian or EU law. Your mandatory statutory rights as a consumer remain unaffected. We are not liable in cases of force majeure, accidental events, internet problems, or other objective causes beyond our reasonable control, including orders of competent state authorities, or for the time during which the Services were unavailable due to such causes.

These Terms and any separate agreements whereby we provide you Services are governed by and construed in accordance with the laws of the Republic of Bulgaria. Disputes shall be subject to the jurisdiction of the competent Bulgarian courts. If you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of your country of habitual residence, and you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. TERMS OF SERVICE
OVERVIEW
Welcome to Goud! The terms "we", "us" and "our" refer to Goud Bulgaria EOOD, a company entered in the Commercial Register at the Bulgarian Registry Agency under UIC 208068489, VAT No. BG208068489, with registered seat and management address: village of Trudovets, 1 Tsar Simeon St., Bulgaria ("Goud"). Goud operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). Goud is powered by Shopify, which enables us to provide the Services to you.
The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability. Nothing in these Terms limits or excludes your mandatory statutory rights as a consumer under Bulgarian law and the law of the European Union.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy [LINK]. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.
SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you represent that you are at least the age of majority under the law of your country of residence (18 years in Bulgaria), and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.
To use the Services, including accessing or browsing our online store or purchasing any of the products we offer, you may be asked to provide certain information, such as your first name, surname, email address, contact phone number, and billing, payment, and delivery information. You represent and warrant that all the information you provide is correct, current and complete and that you have all rights necessary to provide this information. You undertake to update your details promptly upon any change.
You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person. If you provide false information, or we have grounds to believe the information is incomplete or untrue, we may, at our discretion, block or delete your registration and refuse you use of the Services.
SECTION 2 - OUR PRODUCTS
We have made every effort to provide an accurate representation of our products in our online store. However, please note that colors or product appearance may differ from how they appear on your screen due to the type of device you use and your device settings and configuration.
The main characteristics of each product are described in that product's profile in the online store. Prices, inclusive of all taxes and fees, are specified in each product's profile. Any postal or transport costs not included in the price are set by us and shown to you when you select goods for purchase.
All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products we offer to any person, geographic region or jurisdiction, on a case-by-case basis.
SECTION 3 - ORDERS
When you place an order by clicking the "PAY" button and marking your agreement with these Terms and our Privacy Policy, you are making an offer to purchase. Goud reserves the right to accept or decline your order at its discretion, notifying you within a reasonable time and without being obliged to state a reason. Your order is not accepted until Goud confirms acceptance by sending an electronic statement to your email address, or by phone call to the number you provided, at which point contractual relations arise between the parties.
We conclude a separate purchase contract for each product ordered, even if selected in a single order. We may arrange joint and simultaneous delivery of goods ordered under separate contracts. We will provide confirmation of the concluded contract on a durable medium within a reasonable time, or at the latest upon delivery of the goods.
Please review your order carefully before submitting, as Goud may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, change, or cancel an order, we will attempt to notify you using the email, billing address, and/or phone number provided at the time the order was made. If we cannot fulfil an order because we lack the ordered goods, we will notify you and refund any sums paid.
Your purchases are subject to return, exchange or withdrawal in accordance with Section 5A (Right of Withdrawal) and our Refund Policy [LINK].
SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Prices are stated in the online store inclusive of applicable taxes. Delivery, handling or similar charges not included in the price will be shown before you complete your order.
Where the value of an order equals or exceeds BGN 10,000 (EUR 5,112.92, at the fixed rate of 1 EUR = 1.95583 BGN), payment is made only by transfer or deposit to Goud's payment account, in accordance with the Cash Payments Restriction Act. This restriction applies to cash payments only; card and bank-transfer payments are not affected.
We may, from time to time, offer promotions that may affect pricing and that are governed by terms separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.
You agree to provide current, complete and accurate purchase, payment and account information for all purchases. You represent and warrant that (i) the payment information you provide is true, correct, and complete, (ii) you are duly authorized to use the payment method for the purchase, and (iii) you will pay charges incurred at the posted prices, including delivery and handling charges and all applicable taxes, if any.
SECTION 5 - SHIPPING AND DELIVERY
We arrange delivery and handover of the goods via a courier within the period specified for each item at the time of concluding the contract. If no period was expressly agreed, we deliver within a reasonable time and will notify you in advance if we cannot deliver within a stated period.
If you are not present at the delivery address at the agreed time and have not arranged a third party to receive the delivery, we will deliver at another time convenient to us, and you may be required to pay an additional delivery charge per the courier's tariff. You must inspect the goods upon delivery and notify us immediately if they do not meet requirements; otherwise the goods are deemed accepted as compliant, except for hidden defects. This does not affect your statutory rights in respect of non-conforming goods.
SECTION 5A - RIGHT OF WITHDRAWAL (CONSUMERS)
If you are a consumer, you have the right to withdraw from your purchase contract, without owing compensation or penalty and without stating a reason, within 14 days from the date you (or a third party indicated by you, other than the carrier) take physical possession of the goods.
To exercise this right, inform us of your decision by an unambiguous statement (for example, a letter by post or email to office@goud.bg). You may use the standard withdrawal form available on our website, but this is not mandatory. It is enough to send your communication before the withdrawal period expires.
If you withdraw, we will reimburse all payments received from you, including standard delivery costs (except supplementary costs arising from your choosing a delivery method other than the cheapest standard delivery we offer), without undue delay and no later than 14 days from the day we are informed of your decision. We will use the same means of payment you used for the initial transaction unless you expressly agree otherwise, at no cost to you. We may withhold reimbursement until we receive the goods back or you supply evidence of having sent them back, whichever is earliest.
You must return the goods without undue delay and no later than 14 days from communicating your withdrawal, and you bear the direct cost of returning them. You are responsible only for any diminished value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods. The right of withdrawal does not apply in the cases set out in Art. 57 of the Consumer Protection Act.
SECTION 6 - INTELLECTUAL PROPERTY
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Goud, its affiliates or licensors and are protected by Bulgarian, European Union and international patent, copyright and other intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Goud, Shopify or any third party. All rights not expressly granted herein are reserved by Goud.
Goud's names, logos, product and service names, designs, and slogans are trademarks of Goud or its affiliates or licensors. You must not use them without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
SECTION 7 - OPTIONAL TOOLS
You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control over nor input into.
You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement. To the extent permitted by law, we shall have no liability arising from or relating to your use of optional third-party tools. Any use by you of these tools is at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which they are provided by the relevant third-party provider(s).
We may also, in the future, offer new features through the Services. Such new features shall also be deemed part of the Services and are subject to these Terms of Service.
SECTION 8 - THIRD-PARTY LINKS
The Services may contain materials and hyperlinks to websites provided or operated by third parties. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites. If you decide to leave the Services to access these materials or third-party sites, you do so at your own risk.
To the extent permitted by law, we are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on them. Please review the third party's policies and practices before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third party.
SECTION 9 - RELATIONSHIP WITH SHOPIFY
Goud is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Goud. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Goud, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Goud.
SECTION 10 - PERSONAL DATA AND PRIVACY POLICY
We process the personal data you provide in accordance with our Privacy Policy [LINK], Regulation (EU) 2016/679 (GDPR), the Bulgarian Personal Data Protection Act, and other applicable data-protection legislation. Our Privacy Policy forms an integral part of these Terms. Certain personal information may also be subject to Shopify's Privacy Policy, which can be viewed here.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit may be transmitted to and shared with Shopify as well as third parties that may be located in countries other than where you reside, in order to provide services to you. Review our Privacy Policy [LINK] for more details on how we, Shopify, and our partners use your personal information. We may store or access information on your device in accordance with our Cookie Policy, having given you clear information and the option to refuse.
SECTION 11 - FEEDBACK
If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including commercial use.
You represent and warrant that: (i) you own or have all necessary rights to all Feedback; (ii) you have disclosed any compensation or incentives received in connection with your Feedback; and (iii) your Feedback will comply with these Terms. We are under no obligation to (1) maintain your Feedback in confidence; (2) pay compensation for it; or (3) respond to it.
We may, but have no obligation to, monitor, edit or remove Feedback that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or that violates any party's intellectual property or these Terms. You agree that your Feedback will not violate any right of any third party and will not contain unlawful, abusive or obscene material or any virus or malware. You may not use a false email address, pretend to be someone else, or otherwise mislead us as to the origin of any Feedback. You are solely responsible for any Feedback you make and its accuracy.
SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be information in the Services that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, delivery charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order). Where an order is cancelled after payment, we will refund any sums paid.
SECTION 13 - PROHIBITED USES
You may access and use the Services for lawful purposes only. You may not use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any applicable regulations, rules, laws, or ordinances; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm any of our employees or any other person; (e) to transmit false or misleading information; (f) to send, receive, upload, download, use, or re-use any material that does not comply with these Terms; (g) to transmit any advertising or promotional material, including "junk mail," "chain letters," "spam," or similar solicitation; (h) to impersonate any other person or entity; or (i) to engage in any conduct that restricts or inhibits anyone's use of the Services, or which may harm Goud, Shopify or users of the Services, or expose them to liability.
In addition, you agree not to: (a) upload or transmit viruses or any other malicious code; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, or pretext the Services; (e) use any robot, spider, scraping, data-gathering and extraction tools, automatic devices or processes, AI tools (such as agentic AI) or automated or manual means to access the Services; or (f) interfere with, bypass, or circumvent the security or authorization features, robot exclusion headers, or other measures we employ to restrict access. We reserve the right to suspend, disable, or terminate your account at any time if we determine that you have violated any part of these Terms.
SECTION 14 - AGENTS
14.1 This section ("Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity, and that can be executed on behalf of or using a person's device, without direct supervision.
14.2 No Agent may access, use, or interact with the Services unless, at all times, it identifies itself and operates in strict accordance with the requirements in section 14.4 below. In addition, no Agent may access, use, or interact with the Services if we have requested that it refrain from doing so.
14.3 We may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with the Services.
14.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request's user agent string: "Agent/[agent name]"; (ii) not conceal or obfuscate that any access, use, or interactions are from an Agent, such as by (a) mimicking human behavior and interaction patterns, or (b) completing or circumventing CAPTCHAs or measures intended to distinguish computer use from humans; (iii) respond truthfully to any question or prompt seeking to determine if interactions are coming from a human or a computer; and (iv) not circumvent or otherwise avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.
SECTION 15 - TERMINATION
We may terminate this agreement or your access to the Services (or any part thereof) at our discretion, and you will remain liable for all amounts due up to and including the date of termination. Where you are a consumer, termination does not affect concluded but unfulfilled purchase contracts, which remain in force and subject to performance, or your statutory rights.
The following sections continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Personal Data and Privacy Policy, and any other provisions that by their nature should survive termination.
SECTION 16 - DISCLAIMER OF WARRANTIES
The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is at your own risk.
Except as expressly stated by Goud, and to the fullest extent permitted by applicable law, the Services and all products offered through the Services are provided "as is" and "as available" without any representation, warranties or conditions of any kind, either express or implied. Nothing in this section affects the statutory warranties and guarantees to which you are entitled as a consumer under Bulgarian and EU law, including the conformity of goods with the contract, which cannot be excluded or limited.
SECTION 17 - LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, in no case shall Goud, our partners, directors, officers, employees, affiliates, agents, contractors, service providers or licensors, or those of Shopify and its affiliates, be liable for any indirect, incidental, punitive, special, or consequential damages of any kind, including lost profits, lost revenue, lost savings, loss of data, or replacement costs, arising from your use of any of the Services or any products procured using the Services.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded or limited under Bulgarian or EU law. Your mandatory statutory rights as a consumer remain unaffected. We are not liable in cases of force majeure, accidental events, internet problems, or other objective causes beyond our reasonable control, including orders of competent state authorities, or for the time during which the Services were unavailable due to such causes.
SECTION 18 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Goud, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable legal fees, payable to any third party due to or arising out of (1) your breach of these Terms or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, (3) your access to and use of the Services, or (4) any false declaration of consumer status.
We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of indemnified claims.
SECTION 19 - SEVERABILITY
If any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms; such determination shall not affect the validity and enforceability of any remaining provisions.
SECTION 20 - WAIVER; ENTIRE AGREEMENT
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms and any policies or operating rules posted by us on this site constitute the entire agreement between you and us and govern your use of the Services, superseding any prior agreements, communications and proposals, whether oral or written (including any prior versions of the Terms). Terms other than those set out here may be agreed by additional written agreement; in case of conflict, the additional written agreement prevails.
SECTION 21 - ASSIGNMENT
You may not delegate, transfer or assign this agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt will be null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice to you, provided this does not reduce your statutory rights.
SECTION 22 - GOVERNING LAW AND DISPUTES
These Terms and any separate agreements whereby we provide you Services are governed by and construed in accordance with the laws of the Republic of Bulgaria. Disputes shall be subject to the jurisdiction of the competent Bulgarian courts. If you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of your country of habitual residence, and you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
